Object and Sphere of Validity of These Terms and Conditions (1) These Terms and Conditions (hereafter, “AGB”) shall regulate the rights and obligations related to the use of the “Keepa.com” Internet site of its owner Keepa GmbH, Vogelsangstr. 7, 74382 Neckarwestheim (hereafter: “Service Provider”) and the user in conjunction with the use of the “Keepa.com Subscriptions” service which is generally available on the Internet. (2) Exclusively the Service Provider’s AGB shall be valid. Any terms and conditions of the user that are opposing or which deviate from these AGB shall not be acknowledged by the Service Provider unless their validity has been approved expressly in writing or in text form. These AGB shall also then be valid if the Service Provider, while being aware of the user’s terms and conditions which are opposing or deviate from these AGB, unconditionally renders its services to the user. (3) Insofar as the term “Internet Site of the Service Provider” is used in the following, the Internet page and/or the Internet pages of the Service Provider are meant whereby the service specified in Paragraph 1 that is provided by the Service Provider can generally be accessed on the Internet. 2. Services of the Service Provider (1) Through “Keepa.com”, the Service Provider is offering access and tools for retrieving and viewing price history information collected by Keepa.com of certain products. This information includes, for example, the price history of the product, the current Amazon Marketplace New and Used price histories and additional similar information. (2) The services shall be rendered only for the user’s own purposes. Any resale of data for third-party purposes is permitted only with the Service Provider’s prior approval in text form (e.g. e-mail). (3) The Service Provider may limit or restrict the amount of data by time which can be queried and viewed by the user in order to guarantee the functionality of the service. (4) The Service Provider shall provide no guarantees about the completeness of the data that are made available. Furthermore, the correctness of all data cannot be guaranteed. The data provided by “Keepa.com” must be subjected to a plausibility check. 3. Conclusion of a Contractual Agreement (1) A contractual agreement shall – insofar as nothing to the contrary has been expressly agreed in the individual case – only then be considered to have been concluded upon the successful completion of the registration process which is then confirmed by the Service Provider to the user in text form. (2) The user shall have the opportunity to print out the contractual text during the registration process and before concluding the contractual agreement. The data that have been entered during the registration process shall be displayed to the user before the registration process is completed and he may, as needed, make any required corrections. (3) The user has no claim to the conclusion of a contractual agreement. The Service Provider shall be at liberty to reject any offer from a user to conclude a contractual agreement without being required to provide reasons for so doing. (4) The subscriptions offered by the Service Provider are available for businesses and individuals. In case of businesses the registration must be done by a natural person who has an unrestricted ability to conduct business dealings and holds powers of representation. 4. Responsibility for Access Data (1) The registration data (user name, password, etc.) that are provided during the registration process must be kept secret by the user and may not be made available to unauthorised third parties. (2) Moreover, the user must ensure that the accessing and use of the Service Provider’s service by means of the user’s data are done exclusively by the user and/or authorised users. Insofar as facts emerge which substantiate the assumption that unauthorised third parties have obtained, or will obtain, the user’s access data, the Service Provider must be promptly notified of this.
